Terms and Conditions for the use of “AI Services”

This service uses artificial intelligence (AI) to provide you with a summary of the contract that you are about to sign with a digital signature and to provide you with a chatbot tool to ask questions about the contract (hereinafter the “AI Services”). The summary is generated by an AI engine provided by Amazon Web Services (the “AI Tool supplier”). The summary is intended to highlight the most relevant aspects of the contract, but it is not a substitute for reading the full contract. The summary may not be accurate, complete, or up-to-date, and it may not reflect your specific situation or needs. You are solely responsible for verifying the contract before signing it. By using this service, you agree to the following terms and conditions:

  • You consent to the processing of your personal data contained in the contract by our company, Namirial S.p.a. (as data processor) and by the AI Tool supplier, for the purpose of providing the summary service. You can withdraw your consent at any time by contacting us at the e-mail address indicated below.
  • You acknowledge that the summary service is provided “as is” and “as available”, without any warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. We and the AI engine provider do not guarantee the accuracy, completeness, timeliness, reliability, or availability of the summary service or the contract.
  • Namirial and the AI Tool supplier do not warrant the accuracy, completeness, timeliness, reliability or availability of the AI Services.
  • You agree to indemnify and hold harmless us and the AI engine provider from any claim, liability, damage, loss, or expense arising out of or in connection with your use of the summary service or the contract, or your breach of these terms and conditions.
  • You agree that Namirial and the AI engine provider are not liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, resulting from or relating to your use of the summary service or the contract, even if we or the AI engine provider have been advised of the possibility of such damages.
  • You can also use the “chatbot” feature to ask questions about the contract and that can help you understand the contract you are about to sign. The chatbot uses natural language processing techniques to analyze the contract and generate answers to your questions, but it may not capture all the details or nuances of the original text. The chatbot is not a legal advisor and does not constitute legal advice. The chatbot is not part of the legally binding contractual content and does not affect the validity of the contract. By using the chatbot, you agree to be bound by these terms and conditions.
  • You agree that all intellectual property rights relating to the AI Services belong exclusively to Namirial or its licensors.
  • You agree that the AWS Provider’s terms and conditions, which are available for consultation here, will also apply to these terms: https://aws.amazon.com/it/bedrock/.
